These Terms of Service ("Terms") govern your access to and use of the products, services, and platform provided by Financial Expert Pro ("we", "us", or "our"), including our website, web application, API, and WhatsApp Business API service.

By accessing or using Financial Expert Pro, you agree to be fully bound by these Terms. If you do not agree with any part of these Terms, you must refrain from using our software and services. These Terms apply to all users including individuals, businesses, NBFCs, banks, audit firms, and API integration partners.

1. Description of Services

Financial Expert Pro provides an AI-powered financial analysis platform that includes:

• Bank statement parsing, analysis, and report generation
• GST return and ITR filing cross-verification
• Fraud detection and risk scoring
• Multi-bank account consolidation and analysis
• WhatsApp-based document submission and report delivery
• API access for third-party platform integration

Our services are intended for professional and business use in the financial services sector. All analysis outputs are informational tools to assist your decision-making and do not constitute financial, legal, or professional advice.

2. Licence to Use

Subject to your compliance with these Terms, Financial Expert Pro grants you a limited, non-exclusive, non-transferable licence to access and use our platform for personal or business purposes.

You may not:

• Reproduce, modify, distribute, sublicense, or create derivative works of the software without prior written consent from Financial Expert Pro.
• Reverse engineer, decompile, or attempt to extract source code, AI models, or proprietary algorithms from our platform.
• Use the platform for any purpose other than its intended use — bank statement and financial document analysis.
• Use the platform for any unlawful, fraudulent, or unauthorised purpose.

3. Eligibility and Account Registration

• You must be at least 18 years of age to use our services.
• You must provide accurate and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials. All activity under your account is your responsibility.
• You may not share, transfer, or sell access to your account to any third party without our written consent.
• We reserve the right to refuse registration or terminate accounts at our discretion.

4. Acceptable Use

You agree to use Financial Expert Pro only for lawful purposes. You must not:

• Submit forged, altered, or fraudulent bank statements or financial documents.
• Use our platform to facilitate money laundering, fraud, or any other illegal activity.
• Scrape, crawl, or systematically extract data from our platform beyond what is provided through our official API.
• Interfere with or disrupt the platform, servers, or networks connected to our services.
• Use our services to process data belonging to individuals or entities without their proper legal consent.
• Resell or sublicense access to our platform without a written partnership agreement with Financial Expert Pro.

5. Data Privacy and Ownership

• Our software may require access to bank statements and other financial data to deliver analysis results.
• All personal and financial data is handled in accordance with our Privacy Policy with strict confidentiality.
• You retain full ownership of your data. Financial Expert Pro will not share, sell, or disclose your data to third parties without your explicit consent, except as required by law.
• By submitting documents, you confirm you have the legal right and authority to share those documents for analysis.
• You are solely responsible for ensuring your document submissions comply with applicable data protection laws and any obligations you have to individuals whose data is in those documents.
• WhatsApp users may withdraw consent at any time by replying "STOP", in accordance with the Digital Personal Data Protection (DPDP) Act 2023.

6. Accuracy and Reliability

Financial Expert Pro applies best efforts to deliver accurate and reliable analysis results. However, results may vary based on the quality, completeness, and accuracy of the data and documents provided by the user.

7. Financial Advice Disclaimer

All analysis, reports, and outputs generated by Financial Expert Pro are informational only and do not constitute financial advice, investment advice, legal advice, or any form of professional advisory service.

Users should consult a qualified financial professional, chartered accountant, or legal advisor before making any financial, lending, or investment decisions based on our outputs. Financial Expert Pro accepts no responsibility for decisions made on the basis of our reports.

8. WhatsApp Service Terms

• By messaging our WhatsApp Business number, you consent to receiving automated analysis results and service notifications from Financial Expert Pro via WhatsApp.
• The Financial Expert Pro WhatsApp bot is a Utility Service tool designed specifically for bank statement analysis. It is not an entertainment service, social platform, or general AI chatbot, and will not engage in unsolicited marketing communications.
• Reply "STOP" at any time to unsubscribe. This will also deactivate WhatsApp-based service access.
• WhatsApp message delivery is subject to Meta Platforms, Inc. infrastructure and policies. Termination may also occur if use violates Meta's platform policies.
• We are not responsible for delays or failures caused by WhatsApp or Meta systems.

9. Credits and Payment

• Access to analysis features is governed by a credit system. Each analysis consumes a defined number of credits depending on the service type.
• Credits are purchased in advance and are non-refundable unless stated otherwise in your subscription plan or required by applicable law.
• Unused credits do not carry over beyond the validity period specified in your plan.
• We reserve the right to modify pricing and credit rates. Changes will be communicated with reasonable notice before taking effect.
• In the event of a billing dispute, contact us at support@financialexpertpro.com within 30 days of the transaction.

10. API Usage

• API access is subject to rate limits defined in your plan. Exceeding rate limits may result in throttling or temporary suspension.
• You must not use the API in a manner that could damage, overload, or impair our servers or infrastructure.
• API keys are confidential. Do not expose them in client-side code, public repositories, or to unauthorised parties. You are responsible for all API usage under your key.
• We reserve the right to deprecate or modify API endpoints with reasonable prior notice.

11. Intellectual Property

All content, software, algorithms, AI models, designs, trademarks, and technology on the Financial Expert Pro platform are the exclusive intellectual property of Financial Expert Pro and are protected under applicable Indian and international intellectual property laws.

Reports and outputs generated for your account are yours to use for your business purposes. You may not represent AI-generated reports as your own proprietary technology or resell them as standalone products.

12. Limitation of Liability and Indemnification

Financial Expert Pro shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of or inability to use our services, including but not limited to errors in analysis, data loss, or financial decisions made based on our outputs.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

You agree to indemnify and hold harmless Financial Expert Pro and its officers, directors, employees, and affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your violation of these Terms, your misuse of the platform, or any decisions you make based on our outputs.

13. Termination

• You may terminate your account at any time by contacting us at support@financialexpertpro.com.
• We reserve the right to suspend or terminate your access without prior notice for any reason, including violation of these Terms, fraudulent activity, or non-compliance with Meta's WhatsApp platform policies.
• Upon termination, your access to the platform ceases. Remaining unused credits are forfeited unless a refund is expressly required by law.
• Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

14. Modifications to Terms

Financial Expert Pro reserves the right to update or modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending a notification to your registered email address.

Your continued use of Financial Expert Pro after any changes take effect constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of Financial Expert Pro shall be subject to the exclusive jurisdiction of the courts in India.
